Ulivo Terms of Service

Effective date: October 21, 2026 · Last updated: October 21, 2026 · Version: terms-2026-11

These Terms of Service ("Terms") are a contract between you and HumanIntelligence, Lda, a private limited company (sociedade por quotas) registered in Portugal (registered office: Rua do Convento, antigo Convento Subserra, s/n, 2600-635 Castanheira do Ribatejo, Portugal; taxpayer number (NIPC/NIF): 514246952; registered with the Portuguese Commercial Registry (Conservatória do Registo Comercial) under the single registration and tax number 514246952; share capital €2,001.00) ("Ulivo", "we", "us"). They cover the Ulivo website at getulivo.com, your Ulivo account, the Ulivo connector that AI assistants use, our emails, and everything else we provide under the Ulivo name (together, the "Service").

Please read Sections 4, 5, 7, 16, 17 and 21 carefully. They explain that Ulivo does not give medical or allergy advice, how your subscription renews and how to cancel it, and limits on our liability.

By creating an account or checking the box to accept these Terms, you agree to them and to our Privacy Policy. If you don't agree, don't use the Service.

1. What Ulivo is

Ulivo helps households plan weekly dinners. You describe the people you cook for and their food rules, and Ulivo suggests a weekly dinner plan, lets you swap meals, keeps track of your pantry, and builds a shopping list that you can, if you choose, send to Instacart. You can use Ulivo on getulivo.com or by connecting an AI assistant, such as Muse, through the Ulivo connector.

Ulivo is a meal-planning and organizing tool. It is not a healthcare provider, a dietitian, an allergist, a food-safety service or a grocery store.

2. Who can use Ulivo

2.1 Adults only. You must be at least 18 years old and able to enter into a binding contract to create an account. Children and teens can't have accounts.

2.2 Where. Ulivo is offered to people in the United States. We may refuse or end accounts created to use the Service from elsewhere.

2.3 Your account. Give us accurate information and keep it up to date. Keep your password and connected assistants secure. You are responsible for everything done through your account, including by an AI assistant you connect, unless it happened because of our own failure. Tell us right away at support@getulivo.com if you think someone has accessed your account without permission.

2.4 Household owner and other adults. The person who creates a household is its owner. The owner manages the subscription and may invite other adults (18+) to join. Each invited adult creates their own account and accepts these Terms. The owner can remove adults, and adults can leave. If the owner deletes the household, it is deleted for everyone in it.

2.5 Information about other people. When you add someone to your household (for example a partner, a child or another family member), you confirm that:

Use only first names or nicknames for household members. Don't enter full names, contact details, medical records or other information that Ulivo doesn't ask for.

3. How Ulivo works with AI assistants

3.1 You can connect an AI assistant (such as Muse) to your Ulivo account. When you ask the assistant to plan, it calls Ulivo's tools, and Ulivo returns your household's information to it, including names, food rules, allergies and plans, so it can help you.

3.2 The assistant is made and run by another company, not by Ulivo. Its responses, behavior, availability, and what it does with your information are governed by that company's own terms and privacy policy. Ulivo does not control what an assistant writes, how it interprets Ulivo's results, or whether it shows you every warning Ulivo sends it.

3.3 You choose which permissions an assistant gets when you connect it, and you can disconnect it at any time in Settings → Connected apps.

3.4 Ulivo is an independent service. Ulivo is not affiliated with, sponsored by or endorsed by Meta, Muse, Instacart, Stripe, Anthropic, OpenAI or any other company we mention, unless we clearly say otherwise. Their names and trademarks belong to their owners and are used only to describe compatibility.

4. IMPORTANT: Health, nutrition and allergy notice

4.1 Not medical, nutrition or dietary advice. Ulivo's meal plans, recipes, portion sizes, calorie estimates, nutrition figures, allergy filtering and all other content are provided for general informational and meal-planning purposes only. They are not medical, nutritional, dietary or health advice, and they are not a substitute for advice from a doctor, a registered dietitian, an allergist or another qualified professional. Always consult your doctor or a registered dietitian before changing your diet, starting a calorie target, managing a medical condition (such as diabetes, kidney disease, an eating disorder, pregnancy or a food allergy), or making dietary decisions for a child. Never ignore professional advice or delay seeking it because of something you saw in Ulivo. Using Ulivo does not create any doctor–patient, dietitian–client or other professional relationship.

4.2 Allergies: you must always check. Ulivo tries to leave out the allergens you enter by comparing them with the ingredients a recipe lists. This can fail. For example, a recipe may list an ingredient incompletely or wrongly; a product may contain an allergen under another name, as a hidden or "may contain" ingredient, or through cross-contact in a factory or kitchen; manufacturers change their recipes; an allergy may be entered with a spelling or name Ulivo doesn't recognize; an edit, swap or substitution may add an allergen; and an AI assistant may describe, change or add to a recipe in a way Ulivo did not check. Ulivo does not guarantee that any meal, recipe, ingredient, product or shopping list is free of any allergen.

You are solely responsible for:

If someone may be having an allergic reaction, call 911 (or your local emergency number) immediately.

4.3 Food safety. Recipes and instructions may not state safe cooking temperatures, storage times or handling steps, or may state them wrongly. You are responsible for safe food handling, including cooking food to safe internal temperatures (see, for example, the USDA's FoodSafety.gov guidance), safe storage and reheating of leftovers, and hygiene. Take extra care when cooking for young children, older people, pregnant people and anyone with a weakened immune system.

4.4 Calorie targets, nutrition estimates and weight. Calorie targets are optional, for adults only, and used only to size portions. Nutrition and calorie figures are estimates (for example from USDA FoodData Central) and will differ from what you actually cook and eat. Ulivo does not promise any weight change, health result or nutritional outcome. Results depend on many things outside our control. Don't use Ulivo to manage a medical condition or an eating disorder.

4.5 Children. Never set calorie targets or restrictive diets for children based on Ulivo. Decisions about what a child eats are the responsibility of their parent or guardian, with professional advice where needed.

5. AI-generated and automated content

5.1 Parts of Ulivo, and everything an AI assistant says, are produced automatically or by artificial intelligence. Such content may be inaccurate, incomplete, out of date, inappropriate or simply wrong, even when it sounds confident. It may contain wrong quantities, missing steps, unsafe instructions or allergens.

5.2 You must use your own judgment and check any plan, recipe, quantity, substitution, nutrition figure or instruction before you rely on it.

5.3 We don't guarantee that the Service will suit your taste, budget, schedule, store or household, or that suggested items will be available or priced as shown.

6. Your decisions, edits and substitutions

You decide what to plan, buy, cook and serve. You are responsible for every edit, swap, substitution, recipe import, manual change, and anything you (or an assistant acting on your request) add or change, and for checking the result again for allergens and food safety. Recipes you import or write yourself are your content: Ulivo checks only the ingredients they list, as entered.

7. Ulivo Plus: subscription, free trial, automatic renewal and billing

Summary of key subscription terms

  • Plan: Ulivo Plus. Price: US$6.99 per month or US$59 per year, plus any applicable sales tax.
  • Free trial: 7 days, once per account. A valid payment card is required to start the trial.
  • Automatic renewal: Unless you cancel before the trial ends, your subscription starts automatically and your card is charged the plan price you selected on the day the trial ends, and then again every month or every year until you cancel.
  • Reminder: we email you before the trial ends and, for yearly plans, before each yearly renewal.
  • Cancel anytime online in Settings → Billing → Manage billing, or by emailing support@getulivo.com. Cancel before the trial ends and you won't be charged.
  • After cancelling, Plus stays active until the end of the period you've paid for. We don't refund partial periods, except as described in Section 8 or required by law.

7.1 Plans and prices. Ulivo is available only as a paid subscription, Ulivo Plus, billed monthly or yearly at the prices shown on our pricing page and at checkout when you subscribe. Plan features and limits (for example how many people and adult logins a household can have) are described on our pricing page and may change under Section 20. Prices are in US dollars. Sales or other taxes are added where required.

7.2 Free trial. New households can try Ulivo Plus free for 7 days, once per account (and we may limit trials per person, payment card or household to prevent abuse). To start the trial, you give us a payment card through our payment processor, Stripe. We will not charge your card during the trial. We will email you a reminder at least 3 days before the trial ends, stating the date your card will be charged and the amount, and how to cancel. If you don't cancel before the trial ends, your paid subscription begins and your card is charged automatically for the plan you chose at checkout (monthly or yearly).

7.3 Automatic renewal and your authorization. By starting a trial or subscribing, you authorize us (through Stripe) to charge your payment method the then-current price, plus applicable tax, at the end of the trial and then at the start of each billing period (every month or every year) until you cancel. Your subscription renews automatically for successive periods of the same length. For yearly plans, we will email you a reminder 30 days before each renewal with the date, the amount and how to cancel. After checkout we send you an email confirming these terms, the price, the billing frequency, the trial end date and how to cancel.

7.4 How to cancel. You can cancel at any time, online, in Settings → Billing → Manage billing (our Stripe billing portal), in a few clicks, without needing to contact us. You can also cancel by emailing support@getulivo.com from your account email address; we'll confirm by email. Cancellation takes effect at the end of your current trial or billing period, and you keep Plus until then. Deleting your account or household also cancels the subscription immediately (see Section 15). Only the household owner can manage the subscription.

7.5 Price changes. We may change subscription prices. We will tell you by email at least 30 days before a new price applies to you, and it will apply only from your next billing period after that notice. If you don't want to pay the new price, cancel before it takes effect. Where the law requires your express consent to a price increase, we will ask for it, and if you don't give it, your subscription will end at the end of the current period.

7.6 Failed payments. If a payment fails, we will tell you by email and with a notice in your Ulivo account, and Stripe will retry the charge over the following days, for up to 2 weeks. Plus keeps working while we retry. Please update your card in Manage billing. If the payment still fails after the retries, your subscription ends and your household is paused (Section 9). You remain responsible for any amounts validly due for the period you used.

7.7 Payment processing. Payments are processed by Stripe. Your card details go directly to Stripe and are handled under Stripe's terms and privacy policy; Ulivo never sees or stores your full card number. You authorize Stripe to store your payment method and to use updated card details provided by your card network or bank.

7.8 Promotions. Promotional codes or discounts apply only as stated in the offer and can't be exchanged for cash.

8. Refunds and the right of withdrawal

8.1 General. Except as stated in this Section or required by law, payments are non-refundable, and we don't give refunds or credits for partial billing periods, unused time, or periods in which you didn't use Ulivo. If you think you were charged by mistake, email support@getulivo.com within 60 days of the charge and we'll look into it promptly. We may, at our discretion, offer a refund or credit in other cases; doing so once doesn't oblige us to do so again.

8.2 Yearly plans. Monthly payments are non-refundable. If you ask us within 14 days of a yearly charge (by emailing support@getulivo.com from your account email address), we refund that yearly charge in full and your subscription ends.

8.3 If we end the Service. If we stop offering Ulivo, or close your account without cause under Section 15.3, we will refund the unused part of any prepaid period.

8.4 Consumers in the EU, EEA or UK. Ulivo is offered in the United States. If, nonetheless, you are a consumer to whom EU, EEA or UK consumer law applies, you have a right to withdraw from your subscription within 14 days of the day you subscribed (the day you started the trial with your card), without giving any reason. To withdraw, tell us clearly before the 14 days end, for example by email to support@getulivo.com or using the model form in the Annex. If you withdraw during the free trial, you pay nothing. When you subscribe, you expressly ask us to start providing Ulivo Plus immediately, during the withdrawal period, and you acknowledge that if you withdraw after a paid period has begun, you must pay an amount in proportion to the days of paid service provided up to the moment you told us you were withdrawing; we refund the rest within 14 days, to the same payment method, at no cost to you. This Section doesn't limit any other rights you have under that law.

9. Paused households and keeping your data

If your trial ends without a paid subscription, or your subscription ends (because you cancelled or payments failed), your household is paused: you and the other adults can still sign in, read your plans and lists, edit your family, and export or delete your data, but planning features wait until the owner subscribes again.

We keep a paused household's data so you can pick up where you left off, but not forever: if no one in the household signs in to getulivo.com or uses Ulivo through a connected assistant for 12 months, we delete the household and its data as described in our Privacy Policy. At least 30 days before we delete it, we email the owner; signing in or using Ulivo before that date keeps it. You can delete it yourself earlier at any time.

10. Third-party services

10.1 Ulivo works with services run by other companies, including Muse (Meta) and other AI assistants, Instacart, and Stripe ("Third-Party Services"). Your use of a Third-Party Service is governed by that company's own terms and privacy policy, not these Terms, and you may need an account with it. We don't control and are not responsible for Third-Party Services, their content, availability, accuracy, security, or what they do with your information.

10.2 Instacart. Sending your shopping list to Instacart is optional. Ulivo only creates a link containing ingredient names and quantities; Ulivo does not place, process, deliver or refund any order. Products shown, product matches, prices, delivery and service fees, tips, taxes, availability, substitutions, delivery times, refunds and customer service are set and handled by Instacart and its retailers, not Ulivo, and can differ from anything Ulivo estimates (including your weekly budget). Check your Instacart cart, including every product's ingredient and allergen label, before you order. Instacart may substitute items; checking substitutions for allergens is your responsibility. Any order is a contract between you and Instacart (and/or the retailer).

10.3 Affiliate disclosure. We may earn a commission from Instacart on orders placed through links Ulivo creates. This does not change the price you pay or which recipes we suggest.

10.4 Changes. A Third-Party Service may change, limit or stop working with Ulivo at any time. If an assistant platform or Instacart stops supporting Ulivo, the rest of Ulivo (including getulivo.com) will keep working where possible, but we can't guarantee any particular integration will remain available.

11. Your content

11.1 "Your Content" means everything you or your household's adults enter or upload, such as household profiles, food rules, recipes, pantry items, ratings and comments. You keep ownership of Your Content.

11.2 You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, adapt (for example, to format or scale a recipe) and display Your Content only to provide, secure and improve the Service for you and your household, as described in our Privacy Policy, and to comply with law. This licence ends when Your Content is deleted from our systems, except for copies we must keep by law or in backups that expire on schedule. We don't sell Your Content or use it to train AI models.

11.2a Recipes you share. If you ask us to add one of your recipes to Ulivo's shared recipes and we approve it, we make an anonymized copy with only its title, ingredients and steps, without your name or household details. You give us a worldwide, non-exclusive, royalty-free licence to host, adapt (for example, to format or scale it) and show that shared copy to families in the Service. The licence covers only the shared copy. Your household keeps its own copy, which stays private and yours. You can ask us to remove the shared copy at any time: we'll stop offering it to families, and the licence ends then, except for copies we must keep by law or in backups that expire on schedule. Only share recipes you wrote yourself or that your assistant wrote for you, never ones copied from a book or website.

11.3 You confirm that you have the rights needed to share Your Content (for example, recipes you import from a book or website) and that it doesn't break the law or anyone's rights. We may remove content that we reasonably believe breaks these Terms.

11.4 Feedback. If you send us ideas or suggestions, we may use them without any obligation to you.

12. Acceptable use

You agree not to:

13. Our intellectual property

The Service, including its software, design, text, logos, the Ulivo name and the recipe library we provide, belongs to us or our licensors and is protected by law. We give you a personal, limited, non-exclusive, non-transferable, revocable licence to use the Service for your own household's non-commercial meal planning while these Terms apply. We keep all rights not expressly given to you.

14. Privacy

Our Privacy Policy explains how we collect and use personal information, including health information such as allergies and calorie targets, which we store only with consent. By using the Service, you agree that we can communicate with you electronically (by email and in the app) about your account and subscription, and that these electronic communications satisfy any legal requirement that a communication be in writing.

15. Suspension and termination

15.1 By you. You can stop using Ulivo at any time, cancel your subscription (Section 7.4), and delete your account or household in Settings → Account. Deleting the household cancels its subscription immediately; we don't refund the rest of the period except as stated in Section 8.

15.2 By us, for cause. We may suspend or close your account, or remove your access to a household, if you seriously or repeatedly break these Terms, if your use creates a risk to anyone's safety, security or rights, if required by law, or if we suspect fraud or abuse. Where reasonable and lawful, we will tell you first and give you a chance to fix the problem.

15.3 By us, without cause. We may stop offering the Service, or close your account, with at least 30 days' notice by email, and we'll refund any prepaid unused period.

15.4 After termination. Your right to use the Service ends. We handle your data as described in our Privacy Policy, and you can ask for a copy of your data before deletion. Sections that by their nature should survive (including 4, 5, 6, 8, 11.4, 13, 16, 17, 18, 19, 21 and 22) survive termination.

16. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE, INCLUDING ALL MEAL PLANS, RECIPES, ALLERGY FILTERING, NUTRITION AND CALORIE ESTIMATES, SHOPPING LISTS AND OTHER CONTENT, IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY. WE DON'T WARRANT THAT THE SERVICE OR ITS CONTENT WILL BE ACCURATE, COMPLETE, SAFE, FREE OF ALLERGENS, UNINTERRUPTED, SECURE OR ERROR-FREE, THAT IT WILL MEET YOUR NEEDS, OR THAT ANY HEALTH, WEIGHT OR NUTRITION RESULT WILL BE ACHIEVED. WE MAKE NO WARRANTY ABOUT THIRD-PARTY SERVICES.

Some jurisdictions don't allow the exclusion of certain warranties, so some of this Section may not apply to you. This Section doesn't affect rights you have as a consumer that can't be excluded by contract (see Section 19).

17. Limitation of liability

17.1 TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER ULIVO NOR ITS DIRECTORS, EMPLOYEES, CONTRACTORS OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.

17.2 TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, WHATEVER THE LEGAL THEORY, IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND (B) US$50.

17.3 WE ARE NOT LIABLE FOR: (a) any allergic reaction, illness or injury resulting from food you or anyone else chose, bought, prepared, cooked or served, to the extent it results from an ingredient, product label, recipe, substitution or edit you didn't check as Section 4 requires, cross-contact, food handling or cooking, or information about a person's allergies or needs that was missing or wrong; (b) the acts, omissions, content, prices, fees or orders of Third-Party Services, including Muse, other AI assistants, Instacart, its retailers and Stripe; (c) content written by an AI assistant that Ulivo didn't provide; or (d) events beyond our reasonable control (Section 22.6).

17.4 What we don't limit. Nothing in these Terms excludes or limits our liability where that would be unlawful, including liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for intentional misconduct or gross negligence (dolo ou culpa grave), or any other liability that cannot be limited or excluded under the law that applies to you. In those cases our liability is limited only to the extent the law allows.

18. Indemnification

To the extent permitted by law, you agree to defend, indemnify and hold harmless Ulivo and its directors, employees and contractors from claims, losses, liabilities, damages and costs (including reasonable legal fees) brought by a third party (including a household member) to the extent they arise from: (a) your breach of these Terms; (b) your misuse of the Service or violation of law or of anyone's rights; (c) information you entered about another person without the permission Section 2.5 requires; or (d) Your Content. This doesn't apply to the extent a claim was caused by our own breach, negligence or misconduct. We'll tell you promptly about any such claim and may take part in the defense with our own lawyers. If you are a consumer in the EU, EEA or UK, this Section applies only to the extent the law allows and you are liable only for losses you actually caused through your fault.

19. Your consumer rights

Nothing in these Terms limits any rights you have as a consumer that cannot be waived or limited by contract under the laws of the place where you live, including any statutory right to a service that conforms to the contract. If any part of Sections 16, 17 or 18 is not allowed under the law that applies to you, it applies only to the extent the law allows. If you live in New Jersey, Sections 16, 17 and 18 apply only to the extent permitted under New Jersey law.

20. Changes to the Service and to these Terms

20.1 The Service. We improve Ulivo continually and may add, change or remove features. If a change materially reduces what you paid for in your current billing period, you may cancel and we'll refund the unused part of that period.

20.2 These Terms. We may update these Terms for legal, security or product reasons. For a material change, we'll tell you by email and in the app at least 30 days before it takes effect (sooner only if needed for legal or security reasons). For subscribers, changes apply from the next billing period after the notice period. If you don't agree, you may cancel before the change takes effect and it won't apply to you; for a paid period you've already paid for, we'll refund the unused part if you cancel because of the change. If you keep using the Service after the change takes effect, the updated Terms apply. Where the law requires your express agreement, we'll ask for it. We'll keep the date and version at the top of this page up to date.

21. Governing law and disputes

21.1 Talk to us first. Most problems can be solved quickly. Before starting any legal claim, please email support@getulivo.com with a description of the issue, and give us 30 days to try to resolve it informally. This doesn't stop either side from going to small-claims court or seeking urgent relief.

21.2 Governing law. These Terms are governed by the laws of Portugal, without regard to conflict-of-law rules. However, if you are a consumer, this choice of law doesn't deprive you of the protection of mandatory consumer-protection laws of the place where you live, which continue to apply.

21.3 Courts. Any dispute that isn't resolved informally will be decided by the competent courts of Lisbon, Portugal. If you are a consumer, you may instead bring proceedings in the courts of the place where you live, and you may always use a small-claims court with jurisdiction over your claim.

21.4 Consumer dispute resolution (Portugal). If you have a complaint, you can use the electronic Complaints Book (Livro de Reclamações Eletrónico) at www.livroreclamacoes.pt. If you are a consumer, you can also refer a dispute with us to a consumer arbitration centre. Under Portuguese law, consumer disputes worth up to €5,000 must be resolved by arbitration or mediation at an authorised consumer arbitration centre if you choose that, and we will take part. The centre for us is CACCL – Centro de Arbitragem de Conflitos de Consumo de Lisboa (www.centroarbitragemlisboa.pt); where it is not competent, CNIACC – Centro Nacional de Informação e Arbitragem de Conflitos de Consumo (www.cniacc.pt). If you live in Portugal, the centre for the area where you live may be competent instead; the list of consumer arbitration centres is on the Portal do Consumidor (www.consumidor.gov.pt).

21.5 Time limit. To the extent permitted by law, any claim must be brought within one year after it arises, unless a longer period is required by law that applies to you.

22. General

22.1 Entire agreement. These Terms, the Privacy Policy and any terms shown at checkout are the whole agreement between you and us about the Service.

22.2 Severability. If any part of these Terms is found invalid or unenforceable, it will be limited or removed to the minimum extent necessary, and the rest stays in full force.

22.3 No waiver. If we don't enforce a right, that's not a waiver of it.

22.4 Assignment. You may not transfer these Terms without our consent. We may transfer them to an affiliate or to a successor in a merger, acquisition or sale of assets, provided your rights under these Terms and our Privacy Policy aren't reduced; we'll tell you if this happens.

22.5 Independent parties. Nothing in these Terms creates a partnership, employment, agency or fiduciary relationship.

22.6 Events outside our control. We're not responsible for delays or failures caused by events beyond our reasonable control, such as outages of hosting, internet, payment or assistant platforms, natural disasters, war, strikes or government action.

22.7 Language. These Terms are written in English. If we provide a translation, the English version applies unless the law requires otherwise.

22.8 Notices. We send notices to the email address on your account. You can send notices to support@getulivo.com or by post to the address below.

22.9 Third-party beneficiaries. No one other than you and us has rights under these Terms, except as stated in Section 18.
